1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and TIERverify Technologies, LLC ("TIERverify™," "we," "us," or "our") governing your access to and use of the TIERverify™ Analyzer platform at analyzer.tierverify.com (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

TIERverify™ Analyzer is an AI governance scoring platform that evaluates AI-generated text against regulatory governance frameworks. The Service provides citation checking, hallucination detection, compliance gap analysis, and governance scoring.

Features, pricing tiers, and usage limits are subject to change as the platform evolves. We will provide reasonable notice of material changes.

3. Account Registration

To access certain features of the Service, you must create an account through our authentication provider, Clerk. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials and passkeys
• Notify us promptly of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Submit content that is unlawful, harmful, threatening, or otherwise objectionable
• Attempt to reverse-engineer, decompile, or extract the proprietary scoring algorithms or models
• Interfere with or disrupt the Service or its underlying infrastructure
• Circumvent usage limits, rate limits, or access controls
• Use automated tools (bots, scrapers) to access the Service without written permission
• Resell, redistribute, or sublicense the Service or its outputs without authorization
• Impersonate any person or entity, or falsely represent your affiliation

5. User Content

You retain ownership of the text and content you submit to the Service ("User Content"). By submitting User Content, you grant TIERverify™ a limited, non-exclusive license to process, analyze, and store your content solely for the purpose of providing the Service to you.

AI Processing: User Content is sent to OpenAI's API (GPT-4o) for governance analysis. By using the Service, you acknowledge and consent to this processing. OpenAI's API terms apply to the processing of your content by their systems; API inputs are not used to train OpenAI models.

You are solely responsible for ensuring that your User Content does not violate any applicable laws, regulations, or third-party rights, and that it is appropriate for AI-based analysis.

6. Intellectual Property

The Service, including its scoring algorithms, governance frameworks, user interface, branding, and underlying technology, is the proprietary property of TIERverify Technologies, LLC and is protected under applicable intellectual property laws.

All rights, title, and interest in and to the Service (excluding User Content) remain with TIERverify™. The TIERverify™ name, logo, and all related marks are trademarks of TIERverify Technologies, LLC. Nothing in these Terms grants you any right to use our trademarks without prior written consent.

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service downtime.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIERVERIFY TECHNOLOGIES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless TIERverify Technologies, LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

11. Termination

You may stop using the Service at any time by deleting your account. We may suspend or terminate your access at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
